Dual Dash Terms of Service

General Terms

In this Agreement, a reference to:
- Dual Dash, we, us, or our means Dual Dash, Inc.
- Customer, you, or your means the individual or entity identified in the Service Order.
- Users means any individual you grant access to the Services, including Admins, Managers, or Employees.
- Customer Data means any content or data you or your Users upload to the platform, including KPIs, performance reviews, feedback, and personal data.
- Service Improvement refers to work performed by Dual Dash to enhance platform functionality, including algorithm refinement, reporting improvements, and benchmarking.
- Reports are any outputs generated through the Dual Dash platform, including performance dashboards, scorecards, summaries, and insights.

These General Terms, along with your signed Service Order(s), make up the full Agreement between you and Dual Dash. This governs your use of the platform, which includes—but is not limited to—our KPI tracking tools, structured 1:1s, recognition tools, coaching workflows, and supporting features (collectively, the Services).By using the platform or signing a Service Order, you agree to these terms.

1. Service and Support

1.1 Services
We’ll provide access to the Services as outlined in your Service Order. If you need additional services, contact us, and we’ll invoice accordingly.

1.2 Product Changes
We continuously improve Dual Dash. Occasionally, this may involve feature changes or removal. If we remove or reduce a major function, we’ll give you advance notice and the option to terminate your subscription under Section 8.4.

1.3 Downtime
We may temporarily limit or suspend access for maintenance, updates, or emergencies. We’ll aim to notify you in advance if possible.

1.4 Third-Party Services
If you integrate a third-party service (like Salesforce, ClickUp, or an HRIS system), Dual Dash isn’t responsible for its data handling or reliability.

2. Payment Terms and Renewal

2.1 Automatic Renewal
Your subscription renews automatically for the same term (monthly or annually) unless canceled. You can manage or cancel your subscription by contacting us at least 30 days before renewal.

2.2 Annual Subscriptions
Annual plans require a one-year minimum commitment. If you cancel before the end of your subscription term, no refunds or credits will be issued. Any portion of the subscription used is considered payment for the full subscription term.This ensures we can continue to improve the product while offering annual pricing at a discount compared to monthly plans.

2.3 Fees and Taxes
Fees exclude applicable taxes. You’re responsible for any taxes due except those we’re required to collect.

2.4 Price Changes
We may adjust pricing with at least 90 days’ notice. New pricing applies at the start of your next renewal term. If you disagree with a price change, cancel before renewal.

2.5 Payment Methods
We accept payment via credit card or invoicing (depending on your agreement). All invoices are due within 30 days unless otherwise stated. Late payments may result in suspension.

2.6 Late Payments
Late payments may incur 1.5% interest per month (or the highest legal rate). You’ll also be responsible for any collection costs.

3. Data and Privacy

3.1 Customer Data
By using the platform, you agree to the storage and processing of Customer Data for the purpose of delivering and improving the Services.If you’re located in the EU, Dual Dash will act as a data processor on your behalf. We’ll sign Standard Contractual Clauses if needed for data transfer compliance.

3.2 SecurityWe use industry-standard security protocols to protect your data.

3.3 Backups
We retain platform backups for 90 days. After that, data may be permanently deleted from our systems.

4. Confidentiality
Both parties agree to protect each other’s confidential information and only use it as needed to perform the obligations in this Agreement.

5. Intellectual Property
You retain ownership of your Customer Data.Dual Dash retains ownership of the platform, tools, reports, and all intellectual property.By using the platform, you grant us a license to use your data to deliver services, improve the product, and generate anonymized benchmarks.We may list your company name and logo as a customer unless you request otherwise.

6. Account & Access
You’re responsible for maintaining the security of your login credentials and ensuring your team follows internal data handling practices.

7. Customer Responsibilities

7.1 Legal Use
You agree to use Dual Dash in compliance with all laws and internal company policies. You will not use the platform to upload unlawful or harmful content.

7.2 Users
You’re responsible for managing your Users’ access, behavior, and compliance with this Agreement.

8. Termination

8.1 Term
This Agreement continues for the duration of your selected subscription term (monthly or annual) unless terminated earlier.

8.2 Termination by You
You may cancel your subscription at the end of its term by giving at least 30 days’ notice before renewal.

8.3 Termination by Dual Dash
We may terminate the Agreement for non-payment or material breach after 30 days' notice.

8.4 Material Reduction of Functionality
If we materially reduce platform functionality, you may terminate the Agreement. Any prepaid amount is not eligible for refund under our annual subscription policy (see Section 2.2).

8.5 What Happens Upon Termination
If you terminate for our breach, we’ll waive any outstanding balance due.If we terminate for your breach, all unpaid fees become immediately due.

9. Warranties
Each party confirms it has the authority to enter into this Agreement and will comply with applicable laws.

10. Indemnities
Each party agrees to defend and cover the other against third-party claims relating to data, IP, or platform misuse, subject to the terms in the full policy.

11. Limitation of Liability
To the fullest extent permitted by law:Neither party will be liable for indirect or consequential damages.Our total liability is limited to the fees paid in the 12 months prior to the event.

12. Updates to These Terms
We may update these Terms occasionally. If the changes are material, we’ll give you advance notice. Continued use of the Services means you accept the revised Terms.

13. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Delaware. Disputes will be resolved through good-faith negotiation or, if necessary, in Delaware courts.

14. Other Terms
This is the entire agreement.Neither party can assign it without permission, except in a merger or acquisition.If part of the agreement is unenforceable, the rest remains in effect.There are no third-party beneficiaries.
